A new buyer for agencies under $1 million

In March 2026, the team behind Main Street ROI launched Agency Capital Partners (ACP) to buy boutique digital agencies with under $1 million in revenue Agency Capital Partners . Main Street ROI is a digital marketing agency that has served small businesses and agency partners since 2010.

The release says many agencies with six-figure revenue struggle to find realistic exit options. It says brokers and M&A firms focus on agencies with seven figures or more. Managing partner Pete Kennedy said: “We created ACP to provide a path out of the Six-Figure Agency Trap” Agency Capital Partners .

For clients, the model matters. Acquired agencies will keep serving their clients, according to the release, with Main Street ROI’s systems behind them. The release says Main Street ROI handles everything from back-end fulfillment to client-facing sales and account management. Founders can choose a fast exit or a gradual handoff Agency Capital Partners .

So the agency name on your invoice can stay the same, but the people and systems doing the work can change.

Scorpion buys Philadelphia agency 1SEO

On June 18, 2026, Scorpion, which sells marketing and technology to local businesses, bought Philadelphia agency 1SEO Scorpion . 1SEO was founded in 2009 and serves home services, health and legal clients. The release did not disclose a price or other terms.

The client impact came fast. 1SEO clients had already begun moving to Scorpion’s platform when the deal was announced, with “uninterrupted support throughout the process,” the release said. They get access to Scorpion’s RevenueMAX platform. 1SEO chief executive BJ Bergey will stay on with Scorpion to guide client success and growth Scorpion .

The release quotes John Shoaf, managing partner of private investment firm Skyharbor Capital. He said his firm acquired 1SEO in 2023 Scorpion . So 1SEO has changed owners twice in about three years.

Both releases come from the companies involved, so their claims are the companies’ own.

What a sale means for a business that pays the agency

You cannot stop an agency from selling. You can control what a sale does to you. The two deals above show the risk. The ACP model puts a new back office behind the agency. The Scorpion deal moved clients onto a new platform.

Start with the contract:

  • A change-of-control clause. It lets you end the contract without penalty if the agency is sold or merges.
  • Clear ownership of assets. Your business should own the ad accounts, website, domain, analytics and customer data, in its own name.
  • Named key people. List who works on your account and what happens if they leave.
  • Price protection. Fix your price for the contract term, whoever owns the agency.

Contract terms vary by state and by deal, so confirm any clause with your own lawyer. Our guide to marketing agency contracts covers the clauses to look for.

Big holding companies are reshaping too. Our report on Omnicom, WPP and Dentsu covers their 2026 cuts. If you are hiring a smaller shop, our small business shortlist scores agencies on one public rubric, including who does the work.

If your agency was just sold

A sale announcement is the time to act, not the next renewal. Four steps protect you in the first weeks:

  • Get the changes in writing. Ask who runs your account now, which platform holds your data and whether your price changes.
  • Check your access. Log in to your ad accounts, analytics, website host and domain registrar, and confirm you hold admin rights.
  • Export your data. Download reports, creative files and lead lists you paid for.
  • Read your notice terms. Find your notice period and any change-of-control clause before you decide to stay or leave.
